Applicants for Dealer registration with the state of Florida are subject to the requirements found in Chapter 517, Florida Statutes, the Securities and Investor Protection Act and the administrative rules, Sections 69W-100 through 69W-1000, Florida Administrative Code.
Exemptions from Registration. Sections 517.051 and 517.061, F. S. provide exempt transactions and securities for which a firm may not need to be registered. These exemptions are self-executing and do not require any filing with the Office of Financial Regulation prior to claiming such exemption. Any person who claims entitlement to any of the exemptions bears the burden of proving such entitlement.
All registrations for dealers expire at the end of each calendar year and must be renewed timely for the registrant to remain registered to do business in Florida
Dealer: FINRA Member Any person, other than an associated person under Chapter 517, F.S., who engages in the business of offering, buying, selling, or otherwise dealing or trading in securities issued by another person. These entities are registered with the Financial Industry Regulatory Authority (FINRA) and must obtain registration in the states where they conduct business.
Dealer: Non-FINRA Member Any person, other than an associated person under Chapter 517, F.S., who engages in the business of offering, buying, selling, or otherwise dealing or trading in securities issued by another person. These entities are not registered with the Financial Industry Regulatory Authority (FINRA) and must obtain registration in the states where they conduct business.
Issuer Dealer Any issuer who through either persons directly or indirectly compensated or controlled by the issuer engages in the business of offering or selling securities which are issued or are proposed to be issued by said issuer or are proposed to be issued by said issue.
Canadian Dealers A dealer that is located in Canada, does not have an office or other physical presence in this state, and may effect transactions in securities on a limited basis.
