Associated Persons of Dealers

Associated person of a dealer means any person who for compensation refers, solicits, offers, or negotiates for the purchase or sale of securities.

Associated Persons of an Investment Adviser

Associated person of any investment adviser means any person who for compensation refers, solicits, offers, or negotiates for the purchase or sale of investment advisory services.

A person whose activities fall within these definitions is required to register with the Office of Financial Regulation (Office) as an associated person of a dealer, investment adviser or both pursuant to Chapter 517.12(1) or Chapter 517.12(4), Florida Statutes.

The office will not register any person as an associated person of a dealer, investment adviser (state registered) or federal covered adviser unless the dealer, investment adviser (state registered) or federal covered adviser with which the associated person seeks registration is lawfully registered or notice filed with the Office under Chapter 517, Florida Statutes.

Note: Registration as an associated person of a dealer does not constitute registration as an associated person of an investment adviser, or vice-versa. The two associated person registrations are separate and distinct.

Applicants for associated person registration with the state of Florida are subject to the requirements found in Chapter 517, Florida Statutes, the Florida Securities and Investor Protection Act (Act) and the administrative rules, Sections 69W-100 through 69W-1000, Florida Administrative Code (F.A.C).
